Kentucky Registered Agent Requirements: Address & Statute (2026)

Every Kentucky LLC must continuously maintain a registered office and registered agent. The requirement comes from KRS 14A.4-010, it begins the moment the Secretary of State accepts your Articles of Organization, and it never pauses while the company exists.

What the statute requires

Under KRS 14A.4-010, a Kentucky entity must keep a registered office at a physical Kentucky address, which may be the same as any of its places of business. The registered agent can be:

• An individual who resides in Kentucky and whose business address is identical with the registered office, or
• An entity (domestic or foreign) qualified to transact business in Kentucky whose business address is identical with the registered office

The agent must consent in writing, either by signing the document that appoints them or by delivering a separate written acceptance. A post office box on its own does not satisfy the physical address requirement.

What the agent actually does

The registered agent is the address where lawsuits find your company. Service of process, state notices, and official mail route through the registered office, and someone needs to be reachable there during ordinary business hours. Because the registered office sits in the public record, whatever address you list is visible to anyone searching the state's database.

Changing your Kentucky registered agent

Agent changes do not go on the annual report. Kentucky uses the Statement of Change of Registered Agent and Office, form RAC, with a $10 fee, filed with the Secretary of State either through FastTrack or on paper using the state's RAC form.
